Terms of Service

Source draft effective date: July 1, 2026 Source draft last updated: July 13, 2026

These Terms of Service govern access to and use of the Ready Now website, software, mobile applications, registration pages, and related services.

Ready Now is operated by Move3Seven LLC, an Oregon limited liability company. “Ready Now,” “Move3Seven,” “we,” “us,” and “our” refer to Move3Seven LLC.

“Customer” means a business or organization that subscribes to or administers Ready Now. “Authorized User” means a person the Customer permits to use its account. “Participant” means an instructor, learner, organizational contact, equipment contact, purchaser, or other person whose information or activity is managed through the Services.

By creating an account, accepting an invitation, registering for a class, clicking an acceptance box, or otherwise accessing or using the Services, you agree to these Terms. If you act for an organization, you represent that you have authority to bind that organization.

Do not use the Services if you do not agree to these Terms.

A separate order form, subscription agreement, data processing addendum, or other written agreement may also apply. If it conflicts with these Terms, the signed agreement controls.

1. The Ready Now Services

Ready Now is a business operations and customer relationship platform for CPR, First Aid, AED, emergency-readiness, and related training providers.

Depending on the Customer’s subscription and configuration, the Services may support:

  • Organizations, sites, contacts, learners, and account histories;
  • Corporate and private class requests;
  • Quotes, scheduling, rosters, and instructor assignments;
  • Instructor credentials, availability, eligibility, and assignment history;
  • Mobile attendance, waiver, skills-check, note, and document capture;
  • Certification status, history, expiration, and renewal tracking;
  • AED assets, inspection histories, replacement dates, and reminders;
  • Equipment and supply quotes, orders, payments, and refunds;
  • Public class registration and payment;
  • Email and text communications;
  • Completion records, reports, exports, and audit histories; and
  • Referral, partner, and lead-source tracking.

Features may differ by plan and may be added, changed, limited, or discontinued as the platform evolves.

2. Ready Now’s Limited Role

Ready Now provides administrative software. The Customer independently provides and controls its classes, instructors, certifications, equipment, products, communications, and services.

Ready Now is not:

  • A healthcare provider or emergency response service;
  • A training, certification, accreditation, or licensing organization;
  • An AED manufacturer, distributor, inspector, medical director, or maintenance provider;
  • An employer, staffing agency, or joint employer of Customer personnel;
  • A payment guarantor or merchant of record unless expressly stated;
  • A substitute for qualified judgment, physical inspection, professional advice, emergency procedures, or regulatory compliance; or
  • Affiliated with or endorsed by the American Heart Association, American Red Cross, HSI, ASHI, Enrollware, QuickBooks, Shopify, or another third party unless expressly stated in writing.

Do not use Ready Now to seek emergency assistance. In an emergency, call 911 or the appropriate emergency service.

3. Eligibility and Authority

A person creating or administering a Customer account must be at least 18 years old and legally capable of entering into a binding agreement.

A Customer may use the Services in connection with minors only when legally permitted and after obtaining any required parent, guardian, school, employer, or organizational authorization.

Customers are responsible for determining whether a person is eligible to register for, attend, instruct, or complete a course.

4. Accounts and Access

Customers must provide accurate account information and maintain appropriate control over their accounts.

Customers are responsible for:

  • Selecting and supervising Authorized Users;
  • Assigning appropriate roles and permissions;
  • Protecting credentials, devices, and authentication methods;
  • Disabling access when authorization ends;
  • Reviewing account activity;
  • All activity conducted through their accounts; and
  • Promptly reporting suspected unauthorized access, compromised credentials, lost devices, or security incidents.

Authorized Users may access only the Customer accounts, records, and functions they are authorized to use. Account credentials may not be shared except through functionality expressly provided by Ready Now.

5. Customer Data and Processing Instructions

“Customer Data” means information submitted to, stored in, transmitted through, or generated through Ready Now by or for a Customer.

As between Ready Now and the Customer, the Customer retains its rights in Customer Data.

The Customer instructs and authorizes Ready Now to host, organize, copy, process, transmit, display, back up, and otherwise use Customer Data as reasonably necessary to:

  • Provide, secure, maintain, and support the Services;
  • Perform the Customer’s documented instructions;
  • Process transactions and communications;
  • Prevent fraud, misuse, and security threats;
  • Diagnose errors and preserve service integrity;
  • Enforce applicable agreements;
  • Comply with law; and
  • Create aggregated or de-identified information that does not reasonably identify an individual or Customer.

Ready Now does not acquire ownership of Customer Data.

A separate Data Processing Addendum may govern additional processor or service-provider obligations.

6. Customer Representations and Responsibilities

The Customer represents and warrants that:

  • It has a lawful basis and all necessary rights, permissions, notices, and consents to collect and process Customer Data;
  • Its instructions to Ready Now comply with applicable law;
  • Customer Data does not infringe another person’s rights;
  • Information submitted through its account is not knowingly false, fraudulent, misleading, or unlawfully obtained; and
  • It will use the Services only for legitimate business purposes.

The Customer is responsible for:

  • The legality, quality, integrity, and accuracy of Customer Data;
  • Its classes, pricing, prerequisites, schedules, instructors, and capacity;
  • Instructor qualifications, authorization, classification, compensation, and eligibility;
  • Attendance, skills-check, completion, and certification decisions;
  • Waivers, releases, acknowledgments, and accommodations;
  • Refund, cancellation, transfer, and rescheduling policies;
  • Equipment inspection, maintenance, replacement, and compliance;
  • Financial reconciliation and legally required records;
  • Record-retention and deletion decisions;
  • Communications sent through its account; and
  • Compliance with laws, certifying-body rules, contracts, and industry standards.

Ready Now is not responsible for a Customer’s failure to review, correct, export, preserve, or act on its records.

7. Restricted and Regulated Information

Customers must collect only information reasonably necessary for legitimate operations.

Unless Move3Seven expressly agrees otherwise in a signed writing, Customers may not use Ready Now to store or process:

  • Social Security numbers;
  • Complete financial-account or payment-card credentials;
  • Government identification numbers;
  • Biometric identifiers used for identification;
  • Genetic information;
  • Detailed medical records;
  • Psychotherapy records;
  • Substance-use treatment records;
  • Information subject to specialized financial-services regulations;
  • Classified or export-controlled information; or
  • Other information requiring safeguards materially beyond those provided by the Services.

Ready Now is not designed to serve as a system for protected health information regulated by HIPAA. Move3Seven does not act as a HIPAA business associate unless the parties have signed a Business Associate Agreement expressly covering the relevant use.

A Customer that submits restricted information without written authorization does so in violation of these Terms and remains responsible for resulting claims, costs, and obligations.

8. Training and Certification Records

Ready Now may record information supplied by Customers, instructors, learners, and external systems. Ready Now does not independently verify that:

  • An instructor is properly qualified or authorized;
  • A learner attended, passed, or completed a requirement;
  • A waiver or skills check is legally sufficient;
  • A certification was properly issued;
  • A certification remains valid;
  • A course satisfies an employer, regulator, certifying body, or licensing requirement; or
  • Information entered into another system is accurate.

Certification issuance may occur through an external certifying-body portal or manual Customer process. Ready Now may record the status, reference number, source, issue date, and expiration date but does not grant the underlying certification unless expressly stated in writing.

Customers must review records before relying on them or providing them to learners, employers, regulators, certifying bodies, or other parties.

Learners and other Participants must direct disputes about attendance, assessment, completion, certification, refunds, or course quality to the Customer providing the class.

9. Instructor Mobile and Offline Use

Authorized instructors may download assigned class information and capture rosters, waivers, attendance, skills checks, notes, signatures, photographs, or supporting documents through the mobile application.

Information captured offline may not be complete, current, backed up, or visible to other users until synchronization succeeds.

Synchronization may be delayed, rejected, duplicated, interrupted, or placed into conflict review because of connectivity, device conditions, inconsistent records, software errors, or Customer configuration.

Customers and instructors must:

  • Secure mobile devices;
  • Confirm successful synchronization;
  • Review errors, conflicts, and exceptions;
  • Preserve source documents when required;
  • Avoid deleting local records before confirming synchronization; and
  • Maintain reasonable contingency procedures.

Mobile functionality does not independently issue certifications or make final qualification, eligibility, safety, employment, or compliance decisions.

10. AED, Inspection, and Equipment Records

Ready Now may track AEDs, batteries, pads, accessories, supplies, locations, inspections, service activity, and replacement dates.

These records and reminders are administrative tools only. A status displayed in Ready Now does not establish that equipment is:

  • Present at the stated location;
  • Properly installed or registered;
  • Recently or competently inspected;
  • Within its useful life;
  • Accessible;
  • Legally compliant;
  • Appropriate for a particular use; or
  • Operational during an emergency.

The Customer remains responsible for physical inspections, testing, maintenance, manufacturer instructions, recalls, registrations, medical direction, prescriptions, signage, emergency-response plans, replacement components, and applicable legal and contractual requirements.

No person should delay physical inspection, maintenance, replacement, or emergency action because of information displayed—or not displayed—in Ready Now.

11. Quotes, Orders, Payments, and Refunds

Ready Now may support quotes, orders, invoices, payment status, refunds, revenue categories, and external references.

The Customer is responsible for:

  • Pricing, descriptions, taxes, discounts, and terms;
  • Inventory, delivery, fulfillment, warranties, and returns;
  • Refund and cancellation decisions;
  • The accuracy of financial records and exports;
  • Reconciliation with payment, banking, accounting, and commerce systems; and
  • Compliance with tax, accounting, and consumer-protection requirements.

Third-party payment processors may handle payment credentials under their own terms. Ready Now generally does not receive or store complete payment-card numbers.

Unless Ready Now expressly identifies itself as the seller or merchant of record, transactions for a Customer’s classes, products, or services are between the Customer and purchaser.

Participant refund, cancellation, chargeback, and service disputes must be directed to the applicable Customer.

12. Communications and Consent

Customers may use Ready Now to send confirmations, instructions, assignment notices, reminders, renewal notices, inspection notices, follow-ups, and marketing communications.

The Customer represents and warrants that it:

  • Has the lawful basis and any consent required to contact each recipient;
  • Can substantiate that consent when required;
  • Will use accurate sender identification;
  • Will not use deceptive content or routing information;
  • Will provide legally required disclosures and opt-out methods;
  • Will distinguish marketing from operational communications when required;
  • Will promptly honor opt-outs, consent withdrawals, and suppression requests; and
  • Will comply with applicable email, telephone, text-messaging, privacy, advertising, and consumer-protection laws.

Recipients may use the opt-out method included in a message. Where supported, replying STOP opts out of further nonessential text messages from the identified sender, and replying HELP provides assistance.

Customers must also recognize and act on other legally valid or reasonable revocation requests, including requests communicated directly to the Customer.

Opt-out requests may not prevent communications reasonably necessary to complete an existing transaction, administer a requested class or account, deliver a legally required notice, or address security—when such communications remain legally permitted.

Message and data rates may apply. Message frequency varies.

Ready Now may block, suspend, throttle, or terminate messaging activity that appears unlawful, deceptive, excessive, abusive, technically harmful, or inconsistent with carrier or provider requirements.

13. Third-Party Services and External Systems

Ready Now may interact with third-party payment, messaging, storage, mapping, analytics, authentication, commerce, accounting, or certification services.

Third-party services are governed by their own terms and privacy practices. Ready Now does not control and is not responsible for their:

  • Availability;
  • Security;
  • Accuracy;
  • Data handling;
  • Changes;
  • Charges;
  • Service interruptions; or
  • Acts and omissions.

When a Customer enables, selects, or directs use of a third-party service, the Customer authorizes Ready Now to exchange information reasonably necessary to perform that instruction.

References to QuickBooks, Shopify, Enrollware, AHA, Red Cross, HSI, ASHI, or similar systems do not represent that live synchronization, endorsement, certification, or integration is available.

Ready Now may support only references, imports, exports, manual workflows, or future compatibility.

14. Fees and Subscription Terms

Subscription fees, included usage, payment terms, renewal periods, cancellation rights, and service limits are stated in the applicable checkout page, order form, or subscription agreement.

Unless stated otherwise:

  • Fees are in United States dollars;
  • Fees exclude applicable taxes;
  • The Customer is responsible for taxes other than taxes on Move3Seven’s net income;
  • Fees are nonrefundable except as required by law or expressly agreed in writing;
  • Subscriptions renew as disclosed at purchase; and
  • Nonpayment may result in suspension or termination.

Usage exceeding plan limits may require an upgrade, additional fees, or reduced functionality as disclosed in the applicable subscription terms.

15. Acceptable Use

You may not use Ready Now to:

  • Violate law, regulation, contract, court order, or another person’s rights;
  • Create, alter, conceal, or distribute false attendance, certification, inspection, payment, or compliance records;
  • Misrepresent qualifications, eligibility, completion, equipment status, or authorization;
  • Send unlawful, deceptive, abusive, or unsolicited communications;
  • Collect or disclose information without required authority;
  • Harass, discriminate against, threaten, exploit, or harm another person;
  • Access another Customer’s account or data without authorization;
  • Upload malware or compromise service security;
  • Probe or test vulnerabilities without written authorization;
  • Circumvent permissions, access controls, usage limits, or safeguards;
  • Scrape or systematically extract data without permission;
  • Reverse engineer the Services except where applicable law prohibits that restriction;
  • Resell, sublicense, lease, or commercially exploit the Services without written permission;
  • Use nonpublic Ready Now data, documentation, or functionality to build or train a competing product; or
  • Assist another person in prohibited conduct.

Ready Now may investigate suspected misuse and preserve relevant records as reasonably necessary for security, enforcement, or legal compliance.

16. Intellectual Property

Ready Now and its software, interfaces, workflows, documentation, designs, trademarks, and other proprietary materials are owned by Move3Seven LLC or its licensors.

During an active subscription and subject to these Terms, Ready Now grants the Customer a limited, revocable, nonexclusive, nontransferable, and non-sublicensable right to use the Services for its internal business operations.

No ownership rights are transferred.

The Customer may provide suggestions, ideas, or feedback. Move3Seven may use that feedback without restriction or compensation. Providing feedback does not transfer ownership of Customer Data.

Third-party names and trademarks belong to their respective owners. Their appearance does not establish affiliation, sponsorship, or endorsement.

17. Service Changes, Availability, and Security

Ready Now uses reasonable measures designed to maintain and protect the Services, but no software, network, device, or transmission method is completely secure or continuously available.

Ready Now does not guarantee:

  • Uninterrupted or error-free operation;
  • Delivery of every message or notification;
  • Successful synchronization of every record;
  • Continuous availability of third-party services;
  • Recovery of every deleted, corrupted, or unsynchronized record; or
  • Prevention of every unauthorized access event.

Ready Now may perform maintenance, deploy updates, modify functionality, impose technical requirements, or suspend access when reasonably necessary for:

  • Security;
  • Maintenance;
  • Legal compliance;
  • Nonpayment;
  • Capacity management;
  • Prevention of misuse; or
  • Protection of the Services and others.

Ready Now will use commercially reasonable efforts to avoid materially reducing purchased core functionality during an active paid term, except when necessary for security, law, third-party changes, or circumstances beyond its reasonable control.

Customers remain responsible for exporting and separately preserving records they are legally or operationally required to retain.

18. Suspension and Termination

Ready Now may suspend or terminate access for:

  • Material breach;
  • Nonpayment;
  • Fraud or unlawful conduct;
  • Security threats;
  • Repeated acceptable-use violations;
  • Misuse of communications or payment services;
  • Required legal compliance; or
  • Conduct creating material risk to Ready Now, the Services, or another person.

When practical, Ready Now will provide notice and a reasonable opportunity to address a curable issue.

When access ends:

  • The right to use the Services ends;
  • Outstanding amounts remain due;
  • The Customer must cease representing that it uses or is affiliated with Ready Now;
  • The Customer should export records it must retain; and
  • Customer Data may be retained or deleted according to the applicable agreement, documented retention practices, backup cycles, legal requirements, and legitimate security or dispute needs.

Termination does not affect rights or liabilities that accrued before termination.

19. Confidentiality

Each party may receive nonpublic information that is identified as confidential or reasonably should be understood as confidential.

The receiving party will:

  • Use confidential information only for the parties’ relationship;
  • Protect it using reasonable care;
  • Limit access to persons with a legitimate need and confidentiality obligations; and
  • Not disclose it except as authorized or legally required.

Confidential information does not include information that the receiving party can demonstrate:

  • Was lawfully known without restriction;
  • Became public through no breach;
  • Was independently developed without use of the confidential information; or
  • Was lawfully received from another source without restriction.

A party legally compelled to disclose confidential information will provide notice when legally permitted and reasonable cooperation at the other party’s expense.

20. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, READY NOW AND THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

MOVE3SEVEN DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, SECURITY, AND AVAILABILITY.

READY NOW DOES NOT WARRANT THAT:

  • CUSTOMER-SUPPLIED INFORMATION IS ACCURATE OR COMPLETE;
  • EVERY MESSAGE, REMINDER, FILE, EXPORT, UPLOAD, OR SYNCHRONIZATION WILL SUCCEED;
  • A PERSON WILL ATTEND, COMPLETE, PASS, OR RECEIVE CERTIFICATION;
  • A CERTIFICATION WILL BE VALID, RENEWED, OR ACCEPTED;
  • AN INSTRUCTOR IS QUALIFIED, AVAILABLE, RELIABLE, OR PROPERLY CLASSIFIED;
  • EQUIPMENT WILL BE PRESENT, INSPECTED, COMPLIANT, OR OPERATIONAL;
  • AN EXTERNAL SYSTEM WILL ACCEPT OR CORRECTLY PROCESS AN EXPORT;
  • USE OF THE SERVICES WILL SATISFY LEGAL, CONTRACTUAL, PROFESSIONAL, OR CERTIFYING-BODY REQUIREMENTS; OR
  • THE SERVICES WILL PREVENT MISSED RENEWALS, LOST RECORDS, EQUIPMENT FAILURES, FINANCIAL LOSS, INJURY, OR EMERGENCIES.

Some jurisdictions do not permit certain exclusions, so portions of this section may not apply.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOVE3SEVEN LLC AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
  • LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OPPORTUNITY, USE, OR DATA;
  • CUSTOMER OR THIRD-PARTY ACTS OR OMISSIONS;
  • INACCURATE CUSTOMER DATA;
  • FAILED OR DELAYED COMMUNICATIONS;
  • UNSYNCHRONIZED OR LOST MOBILE RECORDS;
  • THIRD-PARTY SERVICES;
  • CERTIFICATION OR EMPLOYMENT DECISIONS; OR
  • EQUIPMENT FAILURE OR EMERGENCY OUTCOMES.

THE TOTAL AGGREGATE LIABILITY OF MOVE3SEVEN LLC AND THE OTHER RELEASED PARTIES ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. THE FEES THE CUSTOMER PAID FOR READY NOW DURING THE 12 MONTHS BEFORE THE FIRST EVENT GIVING RISE TO THE CLAIM; OR
  2. $100 IF THE CLAIMANT DID NOT PAY READY NOW.

The exclusions and cap apply collectively to all claims arising from the same or related events, regardless of legal theory and even if a remedy fails of its essential purpose.

Nothing in these Terms excludes liability that cannot legally be excluded.

22. Indemnification

The Customer will defend, indemnify, and hold harmless Move3Seven LLC and its owners, employees, contractors, affiliates, and licensors from third-party claims, investigations, penalties, losses, liabilities, judgments, settlements, and reasonable legal fees arising from:

  • Customer Data;
  • The Customer’s classes, certifications, instructors, personnel, products, equipment, or services;
  • Communications sent by or for the Customer;
  • The Customer’s collection, use, disclosure, retention, or deletion of personal information;
  • The Customer’s breach of these Terms;
  • The Customer’s violation of law, certifying-body requirements, or another person’s rights;
  • Fraudulent, inaccurate, misleading, or unauthorized records submitted through the Customer’s account; or
  • A Customer dispute with a learner, instructor, employee, contractor, purchaser, employer, site owner, certifying body, or regulator.

Move3Seven will provide reasonable notice of an indemnified claim.

The Customer may control the defense with counsel reasonably acceptable to Move3Seven, but may not settle a claim in a manner that admits wrongdoing by, imposes obligations on, or restricts the rights of Move3Seven without Move3Seven’s written consent.

Move3Seven may participate with counsel of its choosing at its own expense.

23. Governing Law and Dispute Resolution

Oregon law governs these Terms without regard to conflict-of-law principles.

Before filing a legal action, a party must provide written notice describing the dispute, supporting facts, and requested resolution. The parties will make a good-faith effort to resolve the dispute for at least 30 days after receipt of the notice.

This informal process is not required when immediate injunctive or equitable relief is reasonably necessary to prevent unauthorized access, misuse, infringement, disclosure of confidential information, or other imminent harm.

Unless a signed agreement states otherwise, any legal proceeding must be brought in the state or federal courts located in Multnomah County, Oregon. Each party consents to their personal jurisdiction and venue.

To the extent permitted by law, claims must be brought on an individual basis and not as a plaintiff or class member in a purported class, consolidated, coordinated, collective, or representative proceeding.

If the preceding class-action waiver is held unenforceable for a particular claim or party, that portion will be severed without invalidating the remainder of this section.

24. Changes to These Terms

Ready Now may update these Terms as the Services, business practices, or legal requirements evolve.

The revised Terms will display a new “Last Updated” date. Additional notice will be provided when required by law or when a change materially affects an active Customer’s rights or obligations.

Changes will apply prospectively from their effective date. They will not retroactively alter the substantive rules governing a dispute that arose before the change.

Continued use after revised Terms become effective constitutes acceptance where permitted by law.

25. General Provisions

These Terms and any applicable written agreement constitute the entire agreement concerning use of Ready Now.

If a provision is unenforceable, it will be limited or modified only as necessary, and the remaining provisions will remain effective.

Failure to enforce a provision is not a waiver.

Headings are for convenience and do not limit interpretation.

The words “including” and “includes” mean “including without limitation.”

Neither party is responsible for delay or failure caused by circumstances beyond its reasonable control, except for payment obligations.

The Customer may not assign these Terms without Move3Seven’s written consent, except as part of a merger, reorganization, or sale of substantially all relevant assets. Move3Seven may assign these Terms as part of a financing, reorganization, acquisition, merger, or asset sale.

There are no third-party beneficiaries except the parties expressly protected by the disclaimers, liability limitations, and indemnification provisions.

Electronic records, notices, and acceptances may satisfy written and signature requirements to the extent permitted by law.

Provisions that by their nature should survive termination—including ownership, confidentiality, payment, disclaimers, liability limitations, indemnification, and dispute terms—will survive.
